These Terms and Conditions (“Terms”) govern your access to and use of sivocrm.com (the “Site”) and any digital script download purchased from Shenzhen Sadan Trading Co., Ltd. (“SIVO,” “we,” “us,” or “our”). By using the Site or completing a purchase, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase from us.

1. About SIVO

SIVO is a digital script shop operated by Shenzhen Sadan Trading Co., Ltd., registered in Shenzhen, China. We sell production-ready corporate and explainer video scripts as downloadable PDF files in four price tiers: $29.99 (Quick-Win Singles), $49.99 (Standard Scripts), $89.99 (Premium Packs), and $169.99 (Master Collection). We do not produce video, cast talent, or provide post-production services. The scripts are templates and briefs — your team executes the production.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to make a purchase.
If you are purchasing on behalf of a company, you represent that you have authority to bind that company to these Terms.
The Site is intended for business and professional buyers. By purchasing, you confirm that the order is for a business or professional use, or that you are a consumer acting in compliance with the consumer protection laws of your jurisdiction.

3. Account Registration

Account creation is optional. You can check out as a guest.
If you create an account, you must provide accurate information and keep your password secure. You are responsible for all activity under your account.
Notify us immediately at sadantradehub@outlook.com if you believe your account has been compromised.

4. Orders, Pricing, and Payment

All prices are listed in U.S. Dollars (USD) and are inclusive of any VAT or sales tax displayed at checkout. Where we are required by law to collect tax (e.g., EU VAT via IOSS, US sales tax in certain states), the tax is shown at checkout and collected by us or our payment processor.
We accept the payment methods shown at checkout (currently Stripe and/or PayPal).
An order is confirmed only when (a) payment is received and (b) we send you an order confirmation email. We may cancel an order before confirmation if we suspect fraud, a pricing error, or a stock issue.
Coupons and discount codes must be applied at checkout. We do not retroactively apply discounts.

5. Delivery

All SIVO products are digital downloads. After successful payment, a download link is delivered to your order confirmation email and to your account page (if you created one).
The download link is valid for 30 days from the date of purchase. After 30 days, you can still re-download from your account indefinitely (subject to the lifetime-access guarantee described on the product page).
If you do not receive the download link, email sadantradehub@outlook.com with your order number and we will resend it.

6. License to Use the Scripts

When you purchase a SIVO script, you receive a non-exclusive, non-transferable, revocable license to use that script for your own video production.

You may:

Use the script to produce one or more videos for your own brand, product, or client.
Adapt the script’s voice-over, scenes, and CTAs to fit your specific project, audience, and brand voice.
Share the script internally with your immediate production team (in-house staff, contractors, freelancers) for the purpose of producing the video.
Re-shoot the script for additional versions or sequels without re-purchasing.

You may not:

Resell, redistribute, or republish the script (or a substantially similar version of it) as a downloadable product, a template, a course, a training material, or any other commercial product.
Share the PDF publicly (on a website, in a Slack community, on social media, in a Notion template library, etc.).
Claim authorship of the script or present it as your own original work.
Use the script (or its structure, scenes, or VO) to train, fine-tune, or prompt any AI model for the purpose of generating similar scripts at scale.
Use the script in a way that is unlawful, infringing, defamatory, or misleading.

The license is for one organization or one individual producer. If you are a production agency producing a video for a client, the script may be used for that one client’s project only. A separate license is required for each additional client project that uses the same script.

Bundles and the Master Collection ($169.99) include a license for use across multiple projects within the same organization for 12 months from the date of purchase.

7. Intellectual Property

All scripts, layouts, formatting, branding, and the Site itself are the intellectual property of Shenzhen Sadan Trading Co., Ltd. or our licensors. We reserve all rights not expressly granted in these Terms. Nothing in these Terms transfers ownership of the scripts to you. The license in Section 6 is the only right you receive.

You retain all rights to the final video you produce using the script. We make no claim to your finished work.

If you believe content on the Site infringes your copyright, email sadantradehub@outlook.com with the subject Copyright complaint.

8. Refunds

Refunds are handled under our separate Refund and Returns Policy, which is incorporated into these Terms by reference. Please review it before purchasing.

9. Prohibited Uses

When using the Site or any purchased script, you agree not to:

Violate any applicable law or regulation.
Infringe the intellectual property rights of SIVO or any third party.
Use the Site or scripts to produce content that is unlawful, defamatory, hateful, harassing, or misleading.
Attempt to gain unauthorized access to the Site, our systems, or other users’ accounts.
Use any automated means (bots, scrapers, crawlers) to access, copy, or download the Site or its content except for legitimate search engine indexing.
Interfere with the Site’s security features or rate-limiting.
Resell, license, or sublicense the scripts in violation of Section 6.

10. Disclaimers

The Site and all scripts are provided on an “as is” and “as available” basis. We disclaim all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the scripts will produce a specific commercial outcome (sales, engagement, virality, conversion, audience growth, or any other result). The scripts are creative briefs and templates; your team, talent, and execution determine the actual result.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Some jurisdictions do not allow the exclusion of certain warranties. In those cases, the exclusions above apply to the maximum extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, SIVO’s total cumulative liability for any and all claims arising out of or related to your use of the Site or any purchased script shall not exceed the total amount you paid to SIVO for the relevant script in the 12 months preceding the claim (or USD $100 if you have not made a purchase).

SIVO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless SIVO and its officers, employees, and agents from any third-party claim arising out of (a) your use of the Site or scripts in violation of these Terms, (b) your violation of any applicable law, or (c) the video you produce using a SIVO script (including any claims that your video infringes a third party’s rights).

13. Termination

We may suspend or terminate your account and access to the Site at any time if we reasonably believe you have breached these Terms. You may stop using the Site at any time. If you have an account and wish to delete it, email sadantradehub@outlook.com.

Sections 6, 7, 10, 11, 12, 14, and 15 survive termination.

14. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, without regard to its conflict-of-laws rules. If you are a consumer residing in the EU, UK, US, or any other jurisdiction with mandatory consumer protection laws, you retain the protection of those mandatory laws. Nothing in this section deprives you of the protection of the laws of your habitual residence.

15. Dispute Resolution

Step 1 — Talk to us first. If you have a complaint or dispute, email sadantradehub@outlook.com with the subject Complaint and include your order number. We will try to resolve it within 30 days.

Step 2 — Negotiation. If we cannot resolve the dispute within 30 days, either party may initiate formal negotiation for a further 30 days.

Step 3 — Arbitration or court. If the dispute is not resolved through negotiation:

For business / B2B customers: binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules then in force, with the seat of arbitration in Hong Kong. The language of arbitration shall be English. The arbitral tribunal shall consist of one arbitrator.
For consumers: you may bring proceedings in the courts of Hong Kong SAR or, where you reside, in the courts of your country of habitual residence if you prefer.

Class-action waiver. To the maximum extent permitted by law, all disputes will be handled on an individual basis. You waive any right to participate in a class, collective, or representative action.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we revise the “Last updated” date at the top. For material changes, we will notify you by email or by a prominent notice on the Site at least 14 days before the change takes effect. The version of these Terms in effect on the date of your purchase will govern that order.

17. Severability

If any provision of these Terms is held by a court or arbitrator to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and the Refund and Returns Policy, constitute the entire agreement between you and SIVO regarding the Site and the scripts, and supersede any prior agreements or communications on the same subject.
